ATLANTA, Dec. 2, 2021 /PRNewswire/ — Tristar Acquisition I Corp. (NYSE: TRIS.U) (the “Company” or “Tristar”) today announced that holders of the Company’s units may elect to separately trade the Class A ordinary shares and warrants underlying such units commencing on December 6, 2021. Each unit consists of one Class A ordinary share and one-half (1/2) of one redeemable warrant of the Company. Each whole warrant entitles the holder to purchase one Class A ordinary share of the Company at a price of $11.50 per share. For each unit, one Class A ordinary share and one-half (1/2) of one warrant will be issued. Because, pursuant to the warrant agreement, the warrants may only be exercised for a whole number of shares, only a whole warrant may be exercised at any given time. Accordingly, unless a holder of public units owns and separates in increments of two units, such holder will receive and be able to trade only whole warrants (to the extent that the holder owns and separates in increments of more than one unit), and will forfeit any fractional warrants upon separation of the units.

Those units not separated will continue to trade under the symbol “TRIS.U.” The Class A ordinary shares and warrants are expected to trade under the symbols “TRIS” and “TRIS.WS,” respectively. Holders of the units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the units into Class A ordinary shares and warrants.

The units were initially offered by the Company in an underwritten offering. Wells Fargo Securities, LLC acted as the sole book-running manager for the offering and Wells Fargo Securities, LLC and Loop Capital Markets LLC (collectively, the “Underwriters”) acted as co-managers for the offering.

A registration statement relating to the offering of the units and the underlying securities has been filed by the Company and was declared effective by the U.S. Securities and Exchange Commission (the “SEC”) on October 13, 2021. Additionally, the Underwriters exercised their over-allotment option for the purchase of 3,000,000 units.
